Here at Kenzap.com (“Kenzap” or “we” or “us”), we ensure our customers enjoy a seamless and fast process when it comes to transactions, but at the same time, we must ensure that the financial terms of this platform are well laid out. By being a user on Kenzap, be it a subcontractor, partner or visitor (“User”), you acknowledge you are bound by the following terms and conditions of how we manage your finances, which includes, but not limited to, the fees, commission charges and payment terms.
1. Commission Charges
1.1. Clients Account
In Kenzap, if you are a user that purchases a certain service via the platform, you are known as the “Client”. For Clients on our platform, we do not charge any commissions to you. You are only liable for the price quoted on the platform to you for the particular services.
1.2. Subcontractors
If you are selling your products or services on the platform, you are known as the “Subcontractor”. For every Subcontractor on the platform, you acknowledge that you will be paying Kenzap for every successful transaction a commission (“Kenzap Market Fee”). Our commission charges are as follows:
- For every order below USD65, Kenzap will charge a minimum fee of USD4 per order.
- For every order from USD65 and above, Kenzap will charge a flat 5% commission per order.
- As the platform accepts various payment methods, Kenzap’s commission includes the payment commissions charged by our payment solution
1.3. Change of Commission Charges
Kenzap reserves the right to change its Fees at any time, upon notice to you if such change may affect your existing subscriptions. If you received a discount or other promotional offer, Kenzap shall have the right to automatically and without notice renew your subscription to such Kenzap Service(s) at the full applicable Fee.
1.5. Kenzap Cloud
1.6. Affiliate Marketing
Being a Subcontractor of Kenzap, you also agree to compulsorily participate in the Affiliate marketing program. More detailed information on the Affiliate Marketing mechanics will be provided in (5.).
2. Withdrawals & Deposits
2.1. Withdrawals
You are eligible to withdraw your funds in your account. As a Subcontractor, on the 7th of every month, we will do an automatic withdrawal of your funds to your account. For Customers that receive a refund to their account, we will also perform the withdrawal to your account on the 7th of every month.
Our minimum withdrawal is USD10, should there be a situation whereby your balance is below USD10, your balance will be carried forward to the following month. If you would like to perform a withdrawal, you acknowledge that you will be paying any additional remittance fees.
For every withdrawal request, Kenzap charges a mandatory 1% withdrawal fee of the account’s balance. The net remaining funds will be deposited into your bank account linked to your Kenzap account.
2.2. Deposits
In the near future when Kenzap Pay’s infrastructure is set up, we will allow you to perform deposits to your Kenzap Wallet to use Our Services. Further terms and conditions will be laid out when Kenzap Pay launches and you acknowledge that as a Kenzap User, you will abide by the terms and conditions to be set out.
3. Payment Methods
3.1. Payment Gateway and Method
As of the date when these terms were last updated, Kenzap uses Stripe as the official Payment Gateway to facilitate the payments made by the Customers for the Services on Kenzap. As you are a Kenzap User, you agree that you are also bound by the terms and conditions set out by Stripe. More information can be found here: https://stripe.com/payment-terms/legal
3.2. Payment Information & Security
For the purpose of issuing the Invoice, you may be required to furnish certain Personal Information (as such term is defined in the Privacy Policy) and your payment details which includes, but not limited to, your card 16-digit number, CVC code, expiry date, etc. Kenzap does not store any of your payment information and will not be able to disclose your payment information. Your payment information will only be made known to you and it will be managed by Stripe.
3.3. Subscriptions
In Kenzap, we may offer certain subscriptions-based products and services. When a subscription plan is purchased, you will be automatically charged with the payment information that you have provided us, on every billing cycle.
3.3.1. Subscription Auto-Renewals
In order to ensure that you do not experience any interruption or loss of services, certain Paid Services include an automatic renewal option by default, according to which, unless you turn-off the auto-renewal option, such Paid Services will automatically renew upon the end of the applicable subscription period, for a renewal period equal in time to the original subscription period (excluding extended periods).
For example, if the original subscription period for a Service is one month, each of its renewal periods (where applicable) will be for one month. Accordingly, where applicable, Kenzap will attempt to automatically charge you the applicable Fees using the payment method you have on file with Kenzap, within two (2) weeks before such renewal period commences. In the event of failure to collect the Fees owed by you, we may in our sole discretion (but shall not be obligated to) retry to collect on a later time, and/or suspend or cancel your User Account, without further notice. If your Paid Service is subject to a yearly or multiple-year subscription period, Kenzap will endeavor to provide you a notice prior to the renewal of such Paid Service at least thirty (30) days in advance of the renewal date.
You may turn-off the auto-renewal option or cancel your Paid Services at any time via your User Account or by visiting Kenzap Support Page.
Certain domains are subject to a different renewal policy as detailed in the Domains Registration Agreement. Notwithstanding anything to the contrary in the foregoing, you are and shall be solely responsible to verify and ensure the successful renewal of the Kenzap Services you use (whether or not such Kenzap Services are subject to automatic subscription renewals). Accordingly, you shall be solely responsible with respect to any discontinuation of any Kenzap Services previously purchased by you, including due to a cancellation, failure to charge the applicable recurring Fees, or due to any Kenzap Services not being subject to automatic subscription renewals. You acknowledge and agree that you shall not have any claims against Kenzap in relation to the discontinuation of any Kenzap Services or Third Party Services, for whatever reason.
4. Payment Terms
As a User of Kenzap, you agree and acknowledge our payment terms set out below:
- Our payment processing date is on the 7th of every month.
- On the 7th of every month, we will process all payments and finance-related matters from the 1st to the 30th/31st of the previous month. (e.g. 7th July 2020 processes all finance-related matters of June 2020)
- If the 7th falls on a weekend or public holiday, expect slight delays for transfers
- Kenzap does not guarantee the duration of the transfer. We highly recommend you to check with your local bank to enquire on the status of your transfer to get a more accurate duration.
5. Kenzap Pay
5.1. Account Balance Offset
If you are a Subcontractor that is planning to purchase a service from another Subcontractor on Kenzap, you will be known as the “Client” for this instance. As a Subcontractor, you might have an existing balance in your account from some of the payments made by other Clients for your services, Kenzap allows the Subcontractor to pay by offsetting the balance from the Subcontractor’s account.
5.2. Kenzap Pay
In the future, we may launch our own payment solution and infrastructure, which as of today, will be termed as “Kenzap Pay”. For transactions happening via the Kenzap Pay payment method, you acknowledge that you will be subject to the terms & conditions that will lay out from that time.
6. Affiliate Marketing Program
Here in Kenzap, we have an Affiliate Marketing Program for people that are interested in earning rewards through being our ambassador and promoting our brands (“Affiliates”). The Affiliates’ job is to provide additional marketing and branding assistance to Kenzap, in return, we will be rewarding them for their efforts. More information on the Affiliate Marketing program and in respective mechanics can be found here.
As the Affiliates are promoting Our Brands and Services on their own platforms, do note that Kenzap will not be liable for any misinformation or misrepresentation of Our Service on these platforms and it is the Customer’s responsibility to check and confirm if the services and promotions stated on those Affiliate’s platforms are in line with our services and its terms and conditions.
6.1. Breakdown of Commissions:
As the Affiliates can either be referring a Customer or a Subcontractor account, please refer to the the following breakdown of commissions:
- If an Affiliate refers a Customer Account
The referee will get to enjoy a 10% discount on their first purchase from an existing Subcontractor on Kenzap Market. This 10% discount will be charged to the Subcontractor. After the discount, there will be another 10% of the discounted amount charged to the Subcontractor as the Affiliate Referral Reward. Please refer to the example below:
John is an Affiliate, through his own resources, he successfully refers his contact, James, to Kenzap. James makes his first purchase of a videography service from an existing Subcontractor on Kenzap for $500. Using the promo code given by John, James receives a 10% discount for his first purchase. Hence James only paid $450 for the service.
After bearing the 10% discount of the original price of $500, the Subcontractor receives the remaining $450 as revenue. Afterwhich, the Subcontractor will be charged a 5% commission of $450 for the Kenzap Market Fee and a 10% commission of $450 for the Affiliate’s referral reward. This leaves the Subcontractor with a net revenue of $382.50.
Here’s the breakdown of the $500:
10% discount to the customer: $50
5% Kenzap Market Fee (5% of the discounted price): $22.5
10% Affiliate Referral Reward (10% of the discounted price): $45
Subcontractor’s Net Revenue: $382.50
- If an Affiliate refers a Subcontractor Account
The referee will be charged an additional 10% of commission on their first sale to the Affiliate for the Affiliate Referral Reward. Subsequently, the commission will be back to the normal Kenzap Market rates for Subcontractors. The sale can be made by any existing Customers on Kenzap. Please refer to the example below:
John is an Affiliate, through his own resources, he also successfully refers his contact, Jamie, to Kenzap. Jamie is a freelance copywriter, and signs up for a Subcontractor account on Kenzap.
She experiences her first sale from an existing Customer that needed her copywriting skills. She charges $100 for the particular service that the Customer is looking for. As this is her first sale on Kenzap, Jamie is charged a 5% Kenzap Market Fee and a 10% Affiliate Referral Reward for this transaction.
So with an initial $100 of revenue paid by the Customer, after paying the Kenzap Market Fee and the Affiliate Referral Reward, this leaves Jamie with a net revenue of $85.
Here’s the breakdown of the $100:
5% Kenzap Market Fee: $5
10% Affiliate Referral Reward: $10
Subcontractor’s Net Revenue: $85
Upon signing up for the Affiliate Marketing Program, We will provide the Affiliates a designated promo code or a referral link to promote Our Services. If a newly referred Customer by an Affiliate plans to purchase a service from another newly referred Subcontractor on Kenzap, the same terms and conditions will apply.
6.2. Subcontractors
As an existing Subcontractor on Kenzap, you will be compulsorily participating in the Affiliate Marketing Program as a Subcontractor. Hence, if you’re an existing Subcontractor and a Customer that is referred to Kenzap through an Affiliate makes its first purchase of your service, you acknowledge that you are a participating Subcontractor.
6.3. Kenzap Cloud
For our Kenzap Cloud services, the Affiliates acknowledge that they will receive a 30% Referral Reward for every successful first purchase made by their referees. Please refer to the example below:
Kenny is an Affiliate of Kenzap, through his resources, he managed to refer his contact, Mary, to Kenzap. Mary makes her first purchase of a Kenzap Cloud product for $200. Mary pays $200 to Kenzap and Kenny is entitled to a 30% Affiliate Referral Reward for this transaction.
Here’s the breakdown of $200:
What Mary pays: $200
30% Affiliate Referral Reward: $60
Kenzap Net Revenue: $140
7. Financial Documents
7.1. Invoice
Kenzap and/or its affiliated companies will issue an invoice or credit memo for any payment of Fees or refund made to or by Kenzap (“Invoice”). Each Invoice will be issued in electronic form and based on the country stated in your billing address, and will be made available to you via your User Account and/or by email. For the purpose of issuing the Invoice, you may be required to furnish certain Personal Information (as such term is defined in the Privacy Policy) in order to comply with local laws. Please note that the Invoice presented in your User Account may be inadequate with your local law requirements, and in such case may be used for pro forma purposes only.
7.2. Account Statements and Other Documents
Kenzap allows you to download your monthly financial statements like account summary, the invoices that We generated to your Customers on behalf of you, our invoices to you for our Kenzap Market fees and any other available financial information.
Do note that the information is already available on the Kenzap platform, so we will not be sending you anything. It will only be sent to your request for a copy of it.
8. General
8.1. Currency
As Kenzap is a Singapore-registered entity – “Kenzap Pte Ltd”, you acknowledge that all transactions, which includes, but not limited to, Subcontractors payout, Kenzap Marketplace purchase, Kenzap Cloud, Kenzap Pay any other forms of transactions, are taking place in Singapore. We take reference from the Monetary Authority of Singapore (“MAS”) for all currency conversions. However, please note that these currency exchange rates are for reference purposes only and it does not guarantee the actual payout.
8.1.1 Subcontractors Account Balance
The base currency in your account is United States Dollar (“USD”). However, do note that your payout will be paid out from Singapore in SGD. We do rely on the MAS for all currency conversions. Each account that has provided its country of residency will be able to view their balance in USD and their own currency. For example, if you are a subcontractor based in Indonesia, and your sales for the month is USD1000, and the currency rate for USD: Indonesian Rupiah (“IDR”) is IDR14570, you will be able to view your account balance in USD: $1000; and IDR: $14570.
8.1.2 Subcontractor Payouts
At every finance processing week of the month, we will first deduct a mandatory 1% withdrawal fee (refer to 2.1) and based on the currency conversion rate of the day of transfer between Singapore Dollars and your local currency, we will then process your payout. For example, if your Indonesian account balance is USD1000, and based on MAS’ exchange rates between USD:IDR is 1:14570, your account balance will be reflected as IDR14570 as well. After that, you will then be charged an amount of IDR146 (1% withdrawal fee), leaving the net withdrawal balance of IDR14424. We will then send the money in SGD from Singapore, based on our own currency exchange rates, to your registered bank account based on your net withdrawal balance.
8.2. Promotions & Discounts
From time to time, Kenzap will be running several promotional campaigns for our Subcontractors, which includes, but not limited to, lower commissions, discounted subscriptions, lower minimum fee and many other promotional mechanics, we will inform in advance and the Subcontractor are supposed to agree to the terms & conditions of the promotional campaign before participating in it.
The use of certain Kenzap Services may be subject to payment of particular fees, as determined by Kenzap in its sole discretion (“Paid Services” and “Fee(s)”, respectively). Kenzap will provide notice of such Fees then in effect in relation to such Paid Services. If you wish to receive or use such Paid Services, you are required to pay all applicable Fees in advance.
Kenzap reserves the right to change its Fees at any time, upon notice to you if such change may affect your existing subscriptions. If you received a discount or other promotional offer, Kenzap shall have the right to automatically and without notice renew your subscription to such Kenzap Service(s) at the full applicable Fee.
All Fees shall be deemed to be in U.S. Dollars, except as specifically stated otherwise in writing by Kenzap. To the extent permitted by law (and unless specified otherwise by Kenzap in writing), all Fees are exclusive of all taxes (including value added tax, sales tax, goods and services tax, etc.), levies or duties imposed by taxing authorities (“Taxes”), and you shall be responsible for payment of all applicable Taxes relating to your use of the Kenzap Services, or to any payments or purchases made by you. If Kenzap is obligated to collect or pay Taxes for the Fees payable by you, and whether or not such Taxes were added and collected from you for previous transactions, such Taxes may be added to the payment of any outstanding Fees and will be reflected in the Invoice for such transaction. We recommend that you verify the existence of any additional fees you may be charged by third parties in connection with the purchase of Paid Services or in connection with the renewal thereof (such as international transaction fees, currency exchange fees or fees due to banks or credit card companies). Kenzap is not responsible for any such additional fees or costs.
As part of registering or submitting information to receive Paid Services, you also authorize Kenzap (either directly or through its affiliates, subsidiaries or other third parties) to request and collect payment (or otherwise charge, refund or take any other billing actions) from our payment provider or your designated banking account, and to make any inquiries Kenzap or its affiliates may consider necessary to validate your designated payment account or financial information, in order to ensure prompt payment, including for the purpose of receiving updated payment details from your payment, credit card or banking account provider (e.g., updated expiry date or card number as may be provided to us by your credit card company).
8.4. Return, Replacement of Services and Refund Policy
At any point of time, If you are not satisfied with Kenzap Services, you may provide a complaint to our customer service within fourteen (14) days of having first ordered or activated such Kenzap Services (the “Refund” and “Refund Period”). Our team will reveal the complaint and make a decision on the remedy. The remedy consists of the following possibilities:
- Full Replacement of Services/Products
- Partial Replacement of Services/Products
- Full Refund of Services/Products
- Partial Refund of Services/Products
- Return Voucher(s) on your next purchase
8.4.1 Return, Replacement and Return Vouchers
For any Return or Replacement of Services/Products, we will require the Customer to accept the remedy first before processing it. Kenzap will inform the Customer in advance of the type of remedy and the duration needed for such remedy (e.g. Getting replacement of a Subcontractor’s service in 5 working days; Providing the Customer with a new domain)
For Return Vouchers, Kenzap issues directly to your account as a promo code or credit for you to enjoy on your next purchase. The value of the voucher will be determined by Kenzap.
The Company reserves the right to reject Replacement or Refund requests for any invalid or dishonest reasons, which includes, but are not limited to:
- A change of mind
- Misuse of product
- Minor defects that do not alter the core purpose of the product
- False representation of the products from the customer during the return request
8.4.2 Refund
The Refund is applicable only to the initial purchase of Kenzap services which is an upgrading of a free website by purchasing a Premium Plan (as offered on the Kenzap Website). The Refund is not applicable to any additional purchases, upgrades, modification or renewals of Kenzap Services. If you reside in a jurisdiction which requires a longer Refund Period, we will of course be happy to accommodate such requirements in accordance with all applicable laws. If Kenzap receives such notice within such Refund Period, Kenzap will refund to you the amount Kenzap charged you for such Kenzap Services, in currency you were originally charged in, and cancel them accordingly. Please note that the Refund amount may be different than the amount you were charged due to currency changes and third party fees. Kenzap will not be responsible for any differences caused by change of currency exchange rates or fees you were charged by third parties. After the Refund Period, the Fees paid by you are non-refundable and non-cancellable. In addition, if we find that a notice of cancellation has been given in bad faith or in an illegitimate attempt to avoid payment for services actually received and enjoyed, we reserve our right to still charge the User who provided such notice for any Kenzap Services actually received, as permitted by law.
Please note: Certain services purchased on or through the Kenzap Services may be non-refundable. These include Third Party Services such as domains, business tools and applications. The terms of each purchased service or application are indicated on the Kenzap Website and/or as part of or during the process of purchasing such services or applications. It is your obligation to verify your ability to cancel a service prior to purchasing it. Kenzap will not refund any amounts paid for non-refundable Paid Services, applications or Third Party Services.
8.5. Chargebacks
If, at any time, we record a decline, chargeback or other rejection of a charge of any payable Fees on your Kenzap account (“Chargeback”), this will be considered as a breach of your payment obligations hereunder, and your use of the Kenzap Services may be automatically disabled or terminated.
In the event a Chargeback is performed, your User Account may be blocked without the option to re-purchase or re-use it, and any data contained in such User Account, including any domains, applications and Third Party Services may be subject to cancellation and Capacity Loss (as defined in Section 6.3 below).
Your use of the Kenzap Services will not resume until you re-subscribe for any such Kenzap Services, and pay any applicable Fees in full, including any fees and expenses incurred by Kenzap and/or any Third Party Services for each Chargeback received (including Fees for Kenzap Services provided prior to the Chargeback, handling and processing charges and fees incurred by the payment processor).
If you have any questions or concerns regarding a payment made to Kenzap, we encourage you to first contact our Customer Support team before filing a Chargeback or reversal of payment, in order to prevent the Kenzap Services from being cancelled and your User Account being blocked, and to avoid the filing of an unwarranted or erroneous Chargeback, which may result in your being liable for its applicable Fees, in addition to re-payment of all the Fees applicable to the Kenzap Services purchased (and charged-back) by you.
We reserve our right to dispute any Chargeback received, including by providing the relevant credit card company or financial institution with any information and documentation proving that the User responsible for such Chargeback did in fact authorize the transaction and make use of the services rendered thereafter.
